01. Scope of Services
Hakolkal provides full-stack software development services on a Time & Materials (T&M) basis. Each engagement is scoped and billed by actual hours worked. Hakolkal does not guarantee the completion of a final product or specific functionalities within a fixed budget.
02. Compensation & Invoicing
Services are billed at an agreed hourly rate. Invoices are issued upon accumulation of every 30 billable hours or at month-end, whichever occurs first, accompanied by a detailed timesheet.
Payment is due within 14 days of invoice receipt. International clients bear all bank fees and currency conversion costs. Late payment may result in suspension of services and withholding of source code access until full payment is cleared.
03. Intellectual Property
Hakolkal retains full ownership of all custom code upon creation. Upon receipt of full, cleared, and final payment of all invoices, Hakolkal assigns the economic intellectual property rights in the custom code to the client (Foreground IP).
Any pre-existing tools, libraries, or frameworks owned by Hakolkal prior to the engagement (Background IP) remain the sole property of Hakolkal. The client receives a perpetual, royalty-free license to use the Background IP solely as integrated into the final deliverables.
04. Independent Contractor
Hakolkal operates as an independent contractor. Nothing in these Terms creates an employer-employee relationship, partnership, or joint venture. Hakolkal is responsible for its own tax obligations under Israeli law.
05. Limitation of Liability
All deliverables are provided "AS-IS". Hakolkal expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, and immunity from third-party API changes or cybersecurity threats.
Hakolkal is not liable for indirect, incidental, consequential, or punitive damages — including loss of profits, data loss, or business interruption — arising from software bugs or downtime.
Hakolkal's total aggregate liability under any engagement shall not exceed the total fees paid in the six (6) months preceding the event giving rise to the claim.
06. Termination
Either party may terminate an engagement with 14 days' written notice. Upon termination, the client remains fully obligated to pay for all billable hours worked up to the effective termination date.
07. Governing Law
These Terms are governed by the laws of the State of Israel. The competent courts in Tel Aviv-Yafo, Israel, have exclusive jurisdiction over any dispute arising from or related to services rendered by Hakolkal. International clients expressly waive the right to litigate in any other jurisdiction.
